These Terms of Service govern the use of this website and the commercial services offered by Lily Worldwide Company Limited, a flower trade with a forcing house that operates from Rm 1104 Island Beverly, 1 Great George St, Causeway Bay, Hong Kong - 999077, Hong Kong (HK). By browsing the site, sending an enquiry, reserving a lot or ordering a parcel, crate or retail bundle, you agree to the terms set out below. If you do not agree, please do not use the site or place an order.

The website was built by LilyWorld, the development studio engaged by the company. The studio provides technical design and support only; it is not a party to any trade contract and does not act as an agent for either side of a sale.

1. Acceptance of These Terms

These terms form a binding agreement between you and Lily Worldwide Company Limited. You accept them by using the website, by sending an enquiry through the contact page, by corresponding with the desk by email or telephone, or by placing an order for a lot, parcel, crate or bundle. If you act for a company or another organisation, you confirm that you have authority to bind that organisation and that the organisation accepts these terms.

Where a separate written contract has been signed for a specific supply arrangement, that contract prevails over these terms to the extent of any conflict. Where no separate contract exists, these terms are the whole agreement about the subject matter they cover.

Nothing in these terms limits a right that applicable consumer protection law gives you and that cannot be waived by agreement. Our services are aimed primarily at trade buyers, but if you are a consumer, the mandatory rules that protect you continue to apply.

2. Definitions

In these terms, the company means Lily Worldwide Company Limited. We and us refer to the company. You means the person or organisation using the website or buying from the company. The website means the pages served under the company domain, including the services page, the contact page, the privacy policy and these terms. The forcing house means the controlled growing and storage environment operated by the company. A lot means a group of greenhouse bulbs identified on a lot sheet. A parcel means a group of cut stems closed on the auction rail. A crate means a sealed export package prepared on the packing bench. A bundle means a retail-size group of stems prepared for a shop or event. A run means a cold chain movement of crates between handover points. A business day means a day other than a Saturday, Sunday or public holiday in Hong Kong.

3. Use of the Website

You may read, print and download pages from this website for your own lawful purposes, including evaluating whether to place an order. You must not copy the site in bulk, scrape it for data, mirror it on another domain or present its content as your own. You must not attempt to interfere with the operation of the site, probe it for vulnerabilities without written permission, or send automated traffic that degrades service for other visitors.

The website is provided as a description of the services and as a route to contact the desk. It is not an online shop with a live checkout. No order is formed merely by submitting the enquiry form, because the form opens your own mail application and does not itself record an order on our side. A trade contract requires a written confirmation from the desk as described in the orders section.

We may change, suspend or withdraw any part of the website at any time. We try to keep the pages available, but we do not promise uninterrupted access, and we are not liable for a loss caused by a page being temporarily unavailable.

4. Scope of the Services

The company offers six services, each described on the services page. Greenhouse bulb lots supply graded bulb stock in numbered trays. Cut-stem auction parcels close graded stems on the auction rail. Export crate packing builds and seals crates for shipment. Forcing schedule plans set the cold period and warm-up curve for a lot. Cold chain flower runs move sealed crates between handover points. Retail bundle programs supply counted, labelled bundles to shops and event buyers.

The description of a service on the website is an outline. The specific terms for a particular order, including quantity, grade, delivery window, packing format and price, are set out in the written confirmation for that order. If a description on the website appears to conflict with a written confirmation, the written confirmation prevails for that order.

We may decline an order where the requested volume exceeds available capacity, where the requested bloom window cannot be met by the greenhouse calendar, where the requested variety is not available at the required grade, or where a previous payment obligation remains outstanding. We will explain the reason for a refusal where it is reasonable to do so.

5. Enquiries and Information Requests

When you send an enquiry, please give accurate contact details and describe the delivery month, the varieties you need and any fixed date that cannot move. The desk uses that information to check the forcing calendar and to reply with the relevant lot sheets or auction window dates. An enquiry does not reserve a lot and does not create an obligation on either side.

Information in a lot sheet, a forcing plan or a packing list is provided for the purpose of the enquiry and the resulting trade. It may reflect conditions at the date it was issued, such as the condition of a bulb tray at intake or the expected bloom stage at a given week. Natural variation is part of the trade, and a later actual result may differ within the tolerances stated on the sheet.

You are responsible for keeping your contact details current so that the desk can reach you about a confirmation, a change or a run. If we cannot reach you using the details you supplied, we may treat the matter as awaiting your instruction and hold the relevant work until contact is restored.

6. Orders, Reservations and Confirmation

An order is formed when the desk issues a written confirmation and you accept it, either by countersignature, by a written reply that expressly accepts it, or by paying the deposit requested in it. The confirmation states the service, the quantity, the grade band, the bloom or delivery window, the packing format, the price and the payment terms that apply.

A reservation of a greenhouse bulb lot is recorded on the lot sheet as described in our trade practice. A reservation holds the lot for the period stated in the confirmation. If the reservation period expires without acceptance, the lot may be released to another buyer.

Any amendment to a confirmed order must be agreed in writing. We will tell you whether an amendment can be met and whether it changes the price or the delivery window. An amendment that affects a lot already in cold store may not be possible, because the forcing curve has already begun.

You confirm that the information you give us for an order is accurate and that you are entitled to order the goods on the terms stated. You also confirm that any import permit, phytosanitary requirement or customs registration needed at the destination is your responsibility unless the confirmation expressly says otherwise.

7. Prices, Invoices and Payment

Prices are stated in the currency shown in the written confirmation and are exclusive of any applicable taxes, duties, levies and bank charges unless the confirmation says otherwise. Where a price depends on a market reference at the time of closing, the confirmation will say which reference applies and when it is fixed.

Invoices are payable within the period stated on the invoice. If no period is stated, payment is due within fourteen days of the invoice date. Payment must be made in cleared funds to the account shown on the invoice. Please quote the invoice number and the parcel or crate reference with every payment so that the desk can reconcile it without delay.

Where a payment is late, we may charge interest at a reasonable commercial rate on the outstanding amount from the due date until payment, and we may suspend further work on an order or on other orders with the same buyer. We will usually send a reminder before suspending work, except where a continued delay would cause a perishable consignment to be lost.

The buyer bears any bank charge or currency conversion cost connected with a payment. If a payment is reversed or recalled after a crate has been released, the buyer remains liable for the price and for any reasonable cost of recovering it.

8. Lot and Stem Standards

Bulb lots are graded by calibre and inspected for firmness and skin condition at intake. Cut stems are graded by length, head count and condition at the auction rail. The grade standard applied to a lot or parcel is the one stated in the written confirmation. Natural variation within a grade band is expected and does not by itself constitute a defect.

We describe bloom stage in plain terms so that a buyer can plan a display. Bloom stage is affected by temperature, handling and the time since cutting, and a stem can progress faster or slower than the expectation stated on a sheet. Where a buyer needs a specific stage on a specific day, the confirmation should state that requirement, and the forcing plan will be built to meet it as far as the calendar allows.

A stem that is damaged at the cut end, a bulb tray that has softened beyond the tolerance stated on the lot sheet, or a parcel that does not match the grade recorded at closing may be the subject of a claim as set out in the claims section. A claim should be raised promptly because a perishable product changes quickly.

9. Packing, Crates and Sap Tags

Export crates are built to the parcel sheet with a vented liner, a moisture pad and a stem brace. Packing staff weigh each crate and attach a sap tag showing the lot number, destination port and packing time. The tag is part of the crate. A crate whose tag does not match the parcel sheet is reopened and repacked before release.

The buyer should check the packing list against the sap tags at receipt. A shortfall or a mismatch should be notified to the desk within two business days of receipt, with a photograph of the tag and the crate opening where possible. The packing list is the primary record for reconciliation, and the sap tags on the crates should match it in sequence.

Special packing formats requested by a buyer are priced separately and must be agreed before the packing bench begins. A format that requires non-standard materials may extend the preparation time and may be subject to a minimum quantity.

10. Cold Chain and Delivery

Cold chain runs move crates between the packing bench, the export gate and the buyer dock. Each run has a start time, a temperature band, a named handler and a run sheet signed at every handover. We take reasonable care to keep each crate within the agreed band and to record any deviation as it happens.

Delivery windows are estimates unless the written confirmation states that a window is fixed. We will tell you promptly if a run is delayed and will propose an alternative collection slot or a holding arrangement. The buyer must provide a receiving point that can accept the crate within the window, including any cold store or dock requirement at destination.

If a buyer fails to accept a crate at the agreed time without reasonable prior notice, we may arrange cold storage and charge the reasonable cost of that storage to the buyer. Perishable goods cannot be held indefinitely, and we may after reasonable efforts dispose of a crate that cannot be delivered, while accounting to the buyer for any net proceeds where that is practical.

Where a temperature deviation occurs, the run sheet records the time and the action taken. We will discuss with the buyer whether the crate should be released, held or re-routed. The final decision on acceptance rests with the buyer, subject to the claims process described below.

11. Risk, Title and Inspection

Risk in a crate passes to the buyer when the crate is handed over at the agreed delivery point. Title passes when the full price has been paid in cleared funds, even if the crate has already been delivered. Where a buyer has possession but title has not passed, the buyer holds the goods for the company and must not sell them on to a third party without written agreement.

The buyer should inspect a crate at receipt and record any visible damage on the delivery note. A note that says the crate was received without inspection does not prevent a later claim for a defect that could not have been seen at the door, but it may make the claim harder to establish.

If a shipment is held by a customs or quarantine authority, the buyer is responsible for responding to the authority and for any charge that results, unless the hold was caused by an error in our documentation. In that case we will correct the document promptly and work with the buyer to release the crate.

12. Cancellation and Changes

A buyer may cancel an order before the forcing work begins, subject to any cost already incurred for bulb stock, cold storage or materials. Once a lot has entered cold store, cancellation is usually not possible because the forcing curve has started. If a cancellation is accepted after that point, the buyer remains liable for the reasonable cost incurred up to the date of cancellation.

A cancellation after a crate has been packed may be treated as a rejection, and the crate will be handled under the claims process. Because the product is perishable, we cannot hold a packed crate for an extended period while a cancellation is negotiated, and we may release it to another buyer if one can be found.

We may cancel an order where a buyer fails to pay a due amount, where capacity becomes genuinely unavailable, or where a legal restriction prevents supply. If we cancel for a reason within our control, we will refund any amount paid for the cancelled part of the order without delay.

13. Rejection and Claims

If a delivery does not match the grade, quantity or packing stated in the confirmation, the buyer should notify the desk promptly and within two business days of receipt, giving the crate reference and a description of the mismatch. We will review the parcel sheet, the packing list and the run sheet and reply with a proposed solution.

Solutions may include a credit note, a replacement in a later auction window, a partial refund or a price adjustment. The choice depends on availability and on the condition of the goods. Where a claim is accepted, the buyer should follow any instructions we give for holding or disposing of the affected stems so that the loss does not increase.

A claim is not a reason to withhold payment of an unrelated invoice. We ask buyers to pay the undisputed part of an invoice while a claim is reviewed, so that the dispute does not spill into separate orders.

Nothing in this section excludes a remedy that applicable consumer law gives to a consumer and that cannot be excluded by agreement.

14. Events Outside Our Control

We are not liable for a failure or delay caused by an event outside our reasonable control. Such events include severe weather, natural disaster, epidemic or public health restriction, labour dispute, failure of a transport operator, interruption of power or cooling, an act of a public authority, and a disruption at a port or border crossing.

Where such an event occurs, we will tell the buyer as soon as we reasonably can, take reasonable steps to reduce the effect, and discuss options such as a revised window, a holding arrangement or a proportional refund. If the event continues for a significant period, either side may cancel the affected part of the order by written notice, without penalty for that cancellation.

15. Intellectual Property

The text, layout, styling and images on this website belong to the company or are used with permission. The visual design was produced by LilyWorld for the company. You may not copy the design or the copy for a competing site, and you may not remove a notice of ownership.

A lot sheet, parcel sheet, forcing plan and packing list are commercial records. They may be used by the buyer for the purpose of the trade and shared with the buyer own customer or customs broker where the trade requires it. They may not be published, resold as data or used to build a competing price list.

The names of the company and of its services are its trade identifiers. No licence to use those identifiers is granted except as needed to refer accurately to the company in ordinary correspondence.

16. Third Party Links and Services

This website may link to the site of a transport provider, a customs broker or another organisation that supports the trade. A link is not an endorsement of everything that appears on the destination site, and we do not control its content or its privacy practices.

Where a third party performs part of a service, such as a cold store operator or a transport handler, the third party acts under its own terms for the part it performs. We remain responsible for our own obligations under the written confirmation, including the choice of a competent third party.

17. Limitation of Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that the law does not allow to be excluded.

Subject to that, our total liability for a claim arising from an order is limited to the price paid for the affected lot, parcel, crate or bundle. We are not liable for indirect or consequential loss, such as loss of profit, loss of goodwill or loss of a business opportunity, even where we were told that such a loss was possible.

We are not liable for a loss caused by the buyer, including a failure to provide an accurate address, to accept a crate within the window, to follow a storage instruction or to obtain an import permit. We are also not liable for the natural deterioration of a perishable product where the crate was handled as described in the written confirmation and the run sheet.

A claim must be notified within the period stated in the claims section. If a claim is not notified in time, we may decline it, except where the law requires us to consider it.

18. Indemnity

You agree to indemnify the company against a reasonable loss, cost or expense that arises from a breach of these terms by you, from a misuse of the website by you, or from a claim by a third party caused by your own act or omission in connection with the trade. This includes a claim arising from an inaccurate import declaration or from a failure to comply with a destination requirement.

This indemnity does not apply to the extent that the loss was caused by an act or omission of the company. We will tell you promptly about a claim that may engage the indemnity and will not settle it in a way that admits your fault without giving you a reasonable opportunity to respond.

19. Privacy and Personal Information

We handle personal information as described in our Privacy Policy, which forms part of these terms. The policy explains the categories of information we collect, the purposes for which we use it, the persons with whom we share it, the period for which we keep it and the rights you have over it.

In summary, we collect the contact and trade details needed to answer an enquiry and perform an order, we keep trade records for the periods set out in the policy, and we do not sell personal information or use it for advertising profiles. Privacy questions can be sent to support@dingyueintl.buzz or raised by telephone at +13863810509.

20. Confidentiality

Each side may receive information that the other treats as confidential, such as a buyer pricing arrangement, a grower lot reference or a planned promotion. The receiving side will use that information only for the trade and will not disclose it to a third party except to a person who needs it for the trade and who is bound to keep it confidential, or where disclosure is required by law.

Confidentiality does not apply to information that is already public, that the receiving side already held without a duty of confidence, or that is independently developed without use of the confidential information. The duty continues for three years after the end of the trade relationship, and longer where a trade secret is involved.

21. Suspension and Termination

We may suspend access to the website or pause work on an order where a buyer breaches these terms, where a payment is overdue, or where we reasonably believe that continuing would expose the company to a legal or safety risk. We will tell the buyer the reason for the suspension where it is safe and lawful to do so.

Either side may end a continuing arrangement, such as a standing retail bundle program, by giving reasonable written notice. Ending the arrangement does not affect an order already confirmed or an obligation already incurred. The sections on confidentiality, liability and governing law continue to apply after the arrangement ends.

22. Governing Law and Disputes

These terms are governed by the laws of Hong Kong. The parties will first try to resolve a dispute by discussion in good faith, beginning with a written notice that describes the matter and the outcome sought. If the matter is not resolved within thirty days, either side may refer it to a mediator or to the competent courts of Hong Kong.

Where a dispute concerns a perishable crate, either side may ask for an urgent interim step, such as an inspection or a holding arrangement, without waiting for the discussion period to end. This is necessary because the product cannot be preserved while a procedural timetable runs.

If a provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in force, and the invalid provision is read down to the minimum extent needed to make it enforceable.

23. Changes to These Terms

We may update these terms from time to time to reflect a change in the services, in the law or in our practice. The current version is the one published on this page, with the date shown at the top. A material change applies to a new order from the date it is published and does not retrospectively change a confirmed order, unless the law requires otherwise or both sides agree.

Please review this page before placing a new order if some time has passed since your last purchase.

24. Contact Details
